User Agreement - Replify

Welcome to Replify (hereinafter referred to as "the App"). This User Agreement (hereinafter referred to as "the Agreement") constitutes a legally binding agreement between you (hereinafter referred to as "User" or "You") and Replify (hereinafter referred to as "We" or "Our"), governing your access to and use of Replify. Please read this Agreement carefully. If you do not agree with these terms, do not use the App.

Acceptance of Terms

By accessing or using the App, you agree to be bound by the terms and conditions of this Agreement, as well as our Privacy Policy. We reserve the right to modify this Agreement at any time. The modified Agreement will take effect upon publication. Your continued use of the App indicates your acceptance of these changes.

User Eligibility

Replify is open to users of all ages. Users under the age of 13 should use the App under the supervision of a parent or guardian. By using the App, you represent that you have the capacity and have obtained appropriate consent to accept the terms of this Agreement.

Account Registration

To use certain features of the App, you may need to create an account. You agree to provide accurate, complete, and up-to-date information and to maintain the confidentiality of this information. You are fully responsible for all activities conducted under your account. If you discover any unauthorized use of your account, you should notify us immediately.

Use of the App

• License Grant: We grant you a limited, non-transferable, non-exclusive license to access and use the App in accordance with this Agreement.
• User Conduct: You agree not to engage in the following activities:
  • Unauthorized access to or use of the App.
  • Interference with or disruption of the integrity or performance of the App.
  • Attempting to reverse engineer, decompile, or otherwise obtain the source code of the App.
  • Circumventing, disabling, or interfering with the App’s security features.
• Prohibited Content: You may not upload, post, or otherwise transmit any content that infringes on others’ rights, is illegal, defamatory, obscene, abusive, or otherwise objectionable.

Privacy and Data Protection

• Data Collection and Use: We may collect and store de-identified chat data to provide, maintain, develop, and improve our services. This data may be transferred to other company models for processing as needed, and third-party companies may have access to this data. We will make efforts to ensure these companies adhere to relevant privacy protection standards.
• User Consent: By using the App, you consent to our collection, use, and sharing of your data as described in the Privacy Policy. You may opt out of certain data uses by emailing us at [email protected].
• Accessibility Permission: The App requires accessibility permission to read on-screen data for seamless context upload by users. This permission is used solely to enhance user experience and will not be used for other purposes. You can revoke this permission at any time in your device settings.
• Data Deletion Requests: If you wish to delete your data, you may contact us at [email protected], and we will process your request accordingly.
• Data Encryption: Content uploaded by users will be encrypted to ensure data security and privacy.

Intellectual Property

The App and all its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are the exclusive property of Replify, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Content Use Terms

• User Content: When using Replify, you may provide inputs to the service ("Inputs") and receive outputs from the service ("Outputs"). Inputs and Outputs are collectively referred to as "Content." You are responsible for your content, including ensuring that it does not violate any applicable laws or these terms. You represent and warrant that you have all necessary rights, licenses, and permissions to provide the inputs to our service.
• Content Ownership: Between you and Replify, and to the extent permitted by applicable law, you (a) retain all rights to your Inputs, and (b) own the Outputs. We hereby transfer to you all our rights, title, and interest (if any) in the Outputs.
• Content Similarity: Due to the nature of artificial intelligence and our services, Outputs may not be unique, and other users may receive similar or identical Outputs from our services. The rights transfer above does not extend to other users’ or third parties’ Outputs.
• Our Use of Content: We may use content to provide, maintain, develop, and improve our services, ensure compliance with applicable laws, enforce our terms and policies, and maintain the security of our services.

Accuracy

Artificial intelligence and machine learning are rapidly evolving research fields. We continually strive to improve our services to make them more accurate, reliable, safe, and useful. However, due to the probabilistic nature of machine learning, using our services may result in Outputs that do not accurately reflect real people, places, or facts.

When using our services, you understand and agree that:

• Outputs may not always be accurate. You should not rely solely on our services as a source of factual information or as a substitute for professional advice.
• You must evaluate the accuracy and applicability of the Outputs for your use case, including the use of human review where appropriate, before using or sharing the service's Outputs.
• You must not use any Outputs related to individuals for any purpose that could have legal or material effects on that person, such as making decisions about credit, education, employment, housing, insurance, legal matters, or healthcare.
• Our services may provide incomplete, incorrect, or offensive Outputs, which do not represent the views of Replify. If Outputs reference any third-party products or services, it does not imply endorsement by that third party or any affiliation with Replify.

Disclaimer

The App is provided on an "as is" and "as available" basis. We make no express or implied representations or warranties regarding the accuracy, completeness, security, or error-free nature of the App. You assume all risks associated with your use of the App.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the App. Regardless of the nature of the claim, our total liability to you shall not exceed the fees you have paid (if any) during your use of the App.

Indemnification

You agree to defend, indemnify, and hold Replify and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your violation of this Agreement or your activities related to the use of the App (including but not limited to your user content).

Termination

We reserve the right to suspend or terminate your access to the App, with or without cause, and without prior notice. Upon termination, your right to use the App will cease immediately.

Governing Law

This Agreement is governed by and construed in accordance with the laws of [applicable jurisdiction], without regard to its conflict of law provisions. Please ensure that you comply with the relevant laws and regulations of the country or region in which you use the App, including but not limited to the EU General Data Protection Regulation (GDPR), the U.S. Children’s Online Privacy Protection Act (COPPA), the California Consumer Privacy Act (CCPA), the Australian Privacy Act, and Brazil’s General Data Protection Law (LGPD).

Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permitted, and the remaining provisions of this Agreement shall remain in full force and effect.
